Purchase & Participation Agreement

Parties
This Agreement is entered into between the purchaser (“Client”) and Velocity Financial Inc., doing business as Ben Spangl (“Company”), collectively referred to as “the Parties.”

For purposes of all releases, waivers, and indemnities in this Agreement, “Company” includes Velocity Financial Inc., Ben Spangl individually, and all officers, directors, shareholders, employees, contractors, instructors, vendors, service providers, and affiliated entities (collectively, the “Released Parties”).

By completing this purchase, the Client agrees to the terms below.

1. Assumption of Risk & Release of Liability

The Client understands that participation in the Event is voluntary and undertaken at their own risk. The Client releases, discharges, and holds harmless the Released Parties from any and all claims, liabilities, damages, losses, or expenses (including legal fees) arising from or related to participation in the Event, including but not limited to personal injury, illness, property damage, financial loss, or any other harm, whether foreseeable or unforeseeable.

2. No Guarantees

The Company makes no guarantees regarding personal, professional, or financial outcomes. All information provided is for educational purposes only and is not medical, psychological, legal, investment, or financial advice. The Client is solely responsible for their own decisions, actions, and results.

3. Indemnification

The Client agrees to indemnify, defend, and hold harmless the Released Parties from any and all claims, damages, losses, and expenses (including legal fees) arising from:

• The Client’s actions or omissions;

• Participation in the Event;

• Violation of this Agreement or applicable law.

4. Fitness & Conduct

The Client warrants they are physically and mentally fit to participate without undue risk. The Company reserves the right to refuse or remove participation without refund if the Client’s conduct is unsafe, disruptive, or in violation of Event rules (including the prohibition of drugs or alcohol).

5. No Refund Policy

All sales are final. Registration fees are non-refundable for any reason, regardless of attendance, unless otherwise agreed to in writing by the Company.

6. Costs & Accommodations

The Client is responsible for all transportation, lodging, meals, and other expenses related to attending the Event.

7. Intellectual Property & Confidentiality

All Event materials, recordings, and content are the exclusive property of the Company and protected by intellectual property laws. The Client may not copy, share, or reproduce such materials without prior written consent.

8. Use of Likeness

The Client grants the Company permission to record, photograph, and use their name, image, and likeness in any media for promotional, educational, or other business purposes without compensation.

9. Limitation of Liability

To the fullest extent permitted by law, the Released Parties’ total liability for any claim related to this Agreement or the Event shall not exceed the amount paid by the Client. The Released Parties shall not be liable for any indirect, incidental, special, or consequential damages.

10. Governing Law & Venue

This Agreement is governed by the laws of the Province of Alberta, Canada. Any disputes shall be resolved exclusively in the courts of Edmonton, Alberta.

11. Class Action Waiver

The Client waives any right to participate in a class action or representative proceeding against the Released Parties.

12. Entire Agreement

This document constitutes the entire agreement between the Parties and supersedes all prior communications. The Company may update these terms by posting a revised version on its website, which shall apply to all future purchases.

By completing this purchase, the Client confirms they have read, understood, and agreed to these terms in full, and acknowledges that this Agreement protects both Velocity Financial Inc. and Ben Spangl personally from legal claims.
